Below is an introduction to the latest Enterprise Law 2026 and a compilation of documents guiding the implementation of the Enterprise Law.
At present, no legal document has replaced the 2020 Enterprise Law. Therefore, as of now, the 2020 Enterprise Law remains the latest Enterprise Law and is still in force.
In addition, the National Assembly has passed the 2025 Law Amending and Supplementing several Articles of the Enterprise Law to update and improve the legal framework in line with the current socio-economic development.
The 2020 Enterprise Law (Law No. 59/2020/QH14) consists of 10 Chapters and 218 Articles. It provides for the establishment, organization of management, reorganization, dissolution, and related activities of enterprises, including limited liability companies, joint-stock companies, partnerships, and private enterprises, as well as regulations on groups of companies.
The 2025 Law Amending and Supplementing a Number of Articles of the Enterprise Law (Law No. 76/2025/QH15) took effect on July 1, 2025. The Law revises provisions concerning enterprises, including amendments and supplements related to dividends, market prices of capital contributions, legal documents of individuals, and, notably, information on beneficial owners of enterprises.
The 2020 Enterprise Law has made a significant impact by simplifying enterprise establishment procedures, enhancing transparency in corporate governance, and strengthening the accountability of enterprise managers. As a result, the business environment has become more favorable, promoting entrepreneurship, innovation, and attracting both domestic and foreign investment.
Building on this reform, the 2025 amending Law continues to improve the legal framework for enterprises while introducing several important changes to better reflect current economic conditions. Notable amendments include:
- Supplementing regulations on updating beneficial owner information to enhance transparency in enterprise registration;
- Requiring the declaration of the list of beneficial owners in enterprise registration dossiers;
- Amending regulations on dividend distribution and private placement of corporate bonds to better protect investors’ interests;
- Expanding the scope of participation in enterprise management for public officials and public employees in state-owned enterprises;
- Abolishing several administrative procedures that are no longer appropriate, particularly those relating to digital signatures and enterprise registration accounts, thereby reducing compliance costs and processing time for enterprises.
